These Terms of Use ("Terms") govern your use of Scheduler by Medspur ("Service"), operated by Allen Lewis. By creating an account or using the Service, you agree to be bound by these Terms.
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
Scheduler by Medspur is a healthcare staff scheduling platform designed for medical providers and educational institutions. The Service provides tools for creating, managing, and distributing work schedules, including shift assignments, time-off management, swap requests, and schedule analytics.
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

The Service, including its design, code, features, and content (excluding user-generated data), is the property of Allen Lewis and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without prior written consent.
You retain ownership of the data you submit to the Service. By using the Service, you grant us a limited license to use, store, and process your data solely for the purpose of providing and improving the Service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. USE OF THE SERVICE IS AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALLEN LEWIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless Allen Lewis from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service or violation of these Terms.
We may suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will remain in effect.
We reserve the right to modify these Terms at any time. When we do, we will update the "Last Updated" date and notify you through the Service. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
